Noesis Institute Agreement

 

  1. Understanding Affirmed: The Registrant affirms and acknowledges each and all of the following to be true and correct:
    1. The Registrant has no mental, physical or health-related reasons, nor any history thereof, which would preclude or restrict participation in the Noesis Institute, LLC (herein referred to as Noesis) seminar. Additionally, all Registrants under the age of eighteen (18) have obtained parental consent to attend the Noesis seminar and a parent or legal guardian has read, understood and assented to the entirety of this Agreement on the minor’s behalf.
    2. The Registrant assumes all responsibility to assess the hazards and appropriateness before implementing any advice or suggestions given in conjunction with the seminar.
    3. Noesis makes no claims, representations, statements or warranty, either express or implied, as to the suitability of any advice or suggestions provided in connection with the seminar.
    4. The Registrant's participation in such seminar is not requested or required by Noesis but is entirely elective and voluntary on the part of the undersigned. Neither Noesis nor anyone on Noesis' behalf has made any representations to the Registrant as to the safety of said advice or suggestions or as to the Registrant's ability to safely execute advice or suggestions.
    5. The Payee is at least eighteen (18) years old and desires to pay for him or her self and/or the Registrant to attend the seminar that will be conducted by Noesis Institute, LLC. Payee read the entirety of this Noesis Agreement to registrants for whom he/she is paying, and registrant or parents/guardian has agreed to its entirety.
  2. Confidentiality Understanding: All seminar materials, screen displays, manuals, handouts, folders, processes, written materials, documentation, data and information regarding the seminar - whether any or all of the foregoing are intangible, magnetic, digital or any other form; concepts, methods, techniques, formats, patterns, compilations, programs, ideas research, discoveries and know-how information whether or not published, patented, trademarked, copyrighted, registered or suitable therefore - are strictly for the Registrant's personal use and development. No Registrant, whether a minor or not, has permission to share any of the foregoing with anyone, attempt to duplicate it in anyway, or teach what he/she will learn to anyone without written consent from a Noesis member. Noesis reserves the right to take legal action for any intentional or unintentional breach of such agreement.
  3. Assumption of All Risks: In consideration for acceptance as a participant in the seminar, the Registrant hereby personally assumes all risks in connection with such seminar, including any all risks of injury, death, harm, or damage of every kind ore description that may befall the Registrant while participating therein, regardless of whether such risks are known or unknown, foreseen or unforeseen, disclosed or undisclosed. The Registrant is solely responsible for personal well-being and for all action taken as a result of the seminar.
  4. Liability Release: The Registrant completely and unconditionally waives, releases, and forever discharges each and all of the following named entities, persons, and parties (herein collectively referenced as the 'Releasees') from all claims of liability for each and every injury, harm, and loss of every kind or description (including death) to the Registrant's person or property, directly or indirectly occurring in connection with, resulting from, or arising out of the Registrant's participation in the seminar, whether caused by negligence or mistake of any of the Releasees, or otherwise:
    1. Noesis, instructors, affiliates, officers, employees, agents, volunteers, and representatives on its behalf.

The Registrant does further agree to defend, hold harmless, indemnify and release, and forever discharge the Releasees from and against any and all claims, demand, and actions or causes of action on account of damage to or related to the Registrant's participation in the seminar.

  1. Tuition Understanding: Noesis has a no refund policy. Reasons include but are not limited to acts of God, weather, government regulations or advisory, disaster, fire, snow, earthquakes, hurricane, strike, civil disorder, legal issues, curtailment of transportation, etc.  If paying by credit card, the Payee acknowledges that he or she waives the right to dispute/deny tuition charges with his or her credit-card carrier, except in the case of duplicate registration.
  2. Right to Refuse Service:  Noesis Institute, LLC and its instructors, organizers, employees, volunteers, and security team reserve the right to ask any attendee to leave the seminar and premises where course is being conducted, even after the course has begun, at will.  The reasons for refusing service include but are not limited: to arguing, fighting, interrupting, and/or disrespecting the instructor either via email, telephone, internet, or by any other means either before, during or after the course.  If a registrant is asked to leave, he/she is entitled to a partial refund of tuition and no other expenses associated with attending the course/seminar.
  3. Distribution Release: Registrant gives Noesis and its successors and assigns unrestricted permission to use all still photographs, video recordings and sound recordings taken of him/her for future publications, advertisements, and sells of Noesis and its instructors. Furthermore, Registrant gives Noesis and its successors and assigns his/her permission to transcribe all audio recordings taken of him/her for future publications, advertisements, and sells.
  4. Additional Understandings: The Registrant certifies this release and all provisions contained herein are legally binding upon the Registrant, the Registrant's heirs, successors, executors, assigns and the Registrant's personal representatives and will apply to all claims or causes of action which may result from the Registrant's participation in the seminar and which result from causes whether within or beyond the control of Noesis, except such occasioned by the willful or wanton negligence or misconduct of Noesis.
